Happen 和 occur 皆意為「發生」，但兩者並非同義詞，在絕大部分情況中都不能互換，因為它們「發生」的情況不同，譬如在 The general election occurs this fall. (大選今秋舉行) 這句中，occur 不能用 happen 來替代，因為 occur 係表示事件在較為確定之時間的發生。
Happen 意為「發生」，表示具體事件的發生，尤指那些偶然或未能預見的發生，如 The thing happened so quickly. (這件事發生得太快了)；I will wait and see what happens. (我會等一等，看看有什麼事發生)；The accident happened early on Sunday morning. (這起事故發生在星期天清晨)；It’s impossible to predict what will happen in Taiwan in the next few months. (無法預料未來幾個月內台灣會發生什麼事)。
Occur 意為「發生；出現」，係比較正式的用語，表示具體或抽象的事件按計劃或有規律地在較為確定之時間的發生，在指具體、固定或特殊事件之發生時，可與 happen 互換，如 A lot of accidents occur in the home. (許多事故都是在家裡發生的)；The accident occurred about 4:00 a.m. (事故發生在清晨四時左右)；The same mistake must not occur again. (相同的錯誤不可再發生)；Do the rare fish occur in Taiwan only? (這種罕見的魚只出現在台灣嗎？)；What time did the car explosion happen/occur? (汽車爆炸是什麼時候發生的？)。
Happen 和 occur 皆為不及物動詞，因此不能使用被動語態，而它們的過去分詞也不能用作形容詞。除上述意思和用法外，happen 和 occur 還分別有一句型是值得學習的，那就是 happen to do sth. (碰巧…；恰好…) 和 it occurs to sb. that (想到；想起)。例如：
- I happened to see Paul on my way to work. (我碰巧在上班途中遇見保羅)
- It suddenly occurred to me that Peter had owed me 100 dollars. (我突然想到彼得欠我 100 美元)
